If you register an Account on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.

4.1 Current Services

Stratnetic currently offers the following AI-powered services:

Document Simplifier

• Transforms complex documents into professional reports
• Generates Executive Briefs, Data Dashboards, and Premium Consultant Reports
• Processing time: approximately 60 seconds per document

Grant & Funding Finder

• AI-powered grant matching based on organizational profile
• Delivers 3-5 curated grant opportunities
• Updated daily with new funding opportunities

Compliance Scanner

• WCAG 2.2 AA accessibility scanning
• Section 508 compliance verification
• Detailed remediation guidance and actionable recommendations

4.2 Service Availability

We strive to provide reliable and continuous service, but we do not guarantee that our Services will be uninterrupted, error-free, or completely secure. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

4.3 Beta and Limited Release

Some Services may be offered on a beta, pilot, or limited release basis. These Services are provided "as is" and may be subject to additional terms. Beta features may be changed, limited, or discontinued at any time without notice.

5. Pricing and Payment

• Credits purchased and consumed as needed
• No recurring charges or commitments
• Credits do not expire unless Account is closed

Subscription Plans (When Available)

• Monthly or annual recurring billing
• Access to included features and credit allocations
• Automatic renewal unless cancelled
• May include tiered plans (Professional, Premium)

5.2 Pricing

Current pricing is displayed on our platform. We reserve the right to change prices at any time, with notice for existing subscribers. Price changes do not affect current billing periods for active subscriptions.

5.3 Payment Processing

All payments are processed through Stripe, our third-party payment processor. By providing payment information, you:

• Authorize us to charge your payment method for all fees incurred
• Agree to Stripe's terms and conditions
• Represent that you have authorization to use the payment method provided
• Agree to promptly update payment information if it changes

5.5 Subscription Billing (When Available)

For subscription plans:

• Automatic Renewal: Subscriptions automatically renew at the end of each billing period
• Cancellation: You may cancel at any time; cancellation takes effect at the end of the current billing period
• No Proration: No prorated refunds are provided for partial billing periods
• Plan Changes: Plan upgrades take effect immediately; downgrades take effect at the next billing period

5.6 Failed Payments

If a payment fails:

• We will attempt to process payment using updated payment information
• You remain responsible for all unpaid amounts
• We may suspend or terminate your access to paid features
• You may be charged a reasonable fee for failed payment attempts

5.7 Taxes

All fees are exclusive of applicable taxes (including sales, use, and value-added taxes). You are responsible for paying all applicable taxes associated with your purchase.

6. Acceptable Use Policy

8. User Content and Data

You retain all rights to content you upload or submit to our Services ("Your Content"). By uploading Your Content, you grant us a license to use, process, and store Your Content solely to provide Services to you.

8.2 License Grant

You grant Stratnetic a worldwide, non-exclusive, royalty-free license to:

• Process Your Content through our AI-powered tools
• Store Your Content as necessary to provide Services
• Create derivative works (reports, analyses) based on Your Content
• Display results and outputs generated from Your Content

8.3 Content Ownership and Responsibility

You represent and warrant that:

• You own or have necessary rights to Your Content
• Your Content does not violate any third-party rights
• Your Content complies with applicable laws and regulations
• You are solely responsible for Your Content and its consequences

8.4 Data Processing and Retention

As described in our Privacy Policy:

• Documents uploaded for processing are automatically deleted after results are generated
• Results may be saved to your Account if you choose
• We do not use Your Content to train AI models without explicit consent
• You can request deletion of Your Content at any time

8.5 Content Monitoring

We have no obligation to monitor Your Content but reserve the right to review and remove content that violates these Terms or applicable law.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that we will provide our Services with reasonable care and skill. However, we do not warrant that Services will be error-free or uninterrupted.

9.2 Disclaimer of Warranties

9.3 AI-Generated Content

Services that use artificial intelligence may produce results that are incomplete, inaccurate, or inappropriate. You acknowledge that:

• AI-generated outputs are suggestions, not professional advice
• You should review and verify all AI-generated content
• We are not responsible for decisions made based on AI outputs
• AI results may vary and are not guaranteed to be consistent

9.4 No Professional Advice

Our Services do not constitute legal, financial, or professional advice. You should consult appropriate professionals for advice specific to your situation.

9.5 Third-Party Services

We are not responsible for the availability, content, or practices of third-party services integrated with or linked from our Services.

10. Limitation of Liability

• You fail to pay amounts due

• We discontinue Services to all users in your jurisdiction

12.3 Effect of Termination

• All amounts owed become immediately due and payable
• Provisions that by their nature should survive will survive termination

Before termination, you may export Your Content using available export features. We are not obligated to provide access to Your Content after termination.

13. Dispute Resolution

Before filing a claim, you agree to contact us at legal@stratnetic.com and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for 60 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.3 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction in those courts.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If you are a U.S. government entity, our Services are "commercial items" as defined in FAR 2.101, consisting of "commercial computer software" and "commercial computer software documentation."

15.8 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Stratnetic.
